This Agreement applies to all individuals who use our Services, whether as guest visitors (“Guests”) or as registered or subscribed members (“Members”). Throughout this Agreement, the terms “you” and “your” refer to any User accessing or using our Services in any capacity.

Azebina Show provides individual and group coaching, paid membership programs, newsletters, home-study courses, books, audio and video materials, and other resources related to nutrition, exercise, wellness, fitness, and weight loss. Guarantee, Refund, and Cancellation Policy

Membership Programs and Group Coaching Refunds

All purchases related to memberships, subscription programs, and group coaching engagements are non-refundable. Once purchased, these services cannot be canceled for a refund, regardless of the level of participation or usage.

Cancellation of Memberships

You may cancel your membership or group-coaching subscription at any time. Once canceled, your access will end immediately, and you will not be charged for any future billing periods.

Changes to This Policy

We may revise this Guarantee, Refund, and Cancellation Policy periodically. You are encouraged to review this policy regularly for updates. When changes are made, we will publish the updated version on this page and modify the “effective date” at the top. Customers will also be notified through email and/or a prominent notice on our Services before updates take effect. Limited License

You also understand that past performance — whether achieved by our Customers or others — does not ensure similar results for you or any other individual. There is no assurance that you will replicate the outcomes of anyone else who has applied principles or strategies described on our Services.

ELIGIBILITY AND REGISTRATION FOR MEMBERSHIP

Certain features of our Services require Membership registration. Memberships are non-transferable, non-assignable, and void where prohibited by law. You may not use a username that belongs to another person or entity, infringes on any trademark rights, or is otherwise unlawful. Offensive, vulgar, or obscene usernames are strictly prohibited.
We reserve the right, at our sole discretion, to refuse service, terminate accounts, remove content, or cancel orders at any time.

If your Membership includes a password-protected area, you are responsible for maintaining the confidentiality of your login credentials and for all actions taken using your password. You must notify us immediately of any unauthorized access or security breach. Azebina Show is not liable for any loss or damage resulting from your failure to safeguard your password. NEWSLETTERS AND COMMUNICATIONS

By registering on our Services, you consent to receive newsletters, promotional messages, marketing materials, and other communications from us.

    PURCHASES

    When you choose to purchase any product or service offered through our Services (“Purchase”), you may be required to provide specific information relevant to your transaction. This may include, but is not limited to, your first and last name, billing and shipping address, credit or debit card number, card expiration date, security code, and email address.

    By submitting this information, you confirm and guarantee that:
    (i) you are legally authorized to use the payment method you provide; and
    (ii) all information you submit in connection with a Purchase is complete, accurate, and current.

    To process your payment and complete your transaction, our Services may utilize third-party payment processors. By providing your information, you authorize us to share the necessary data with those third-party services in accordance with our Privacy Policy.

    We reserve the right to cancel or refuse any order at any time for reasons including (but not limited to): product or service availability, inaccuracies in pricing or descriptions, errors in your order, or concerns regarding fraud or unauthorized activity. If we suspect fraudulent, unlawful, or unauthorized behavior, we may also cancel or refuse the transaction.

    REFUNDS

    Refund availability varies depending on the specific product, program, or service purchased. Each offering has its own refund terms. Please refer to our Guarantee, Refund, and Cancellation Policy for full details.

    PAID SUBSCRIPTIONS AND MEMBERSHIPS

    Certain features of our Services require paid access and operate on a subscription basis (“Subscription”). Subscription fees are charged in advance on a recurring schedule (“Billing Cycle”), which may be monthly or annually depending on the plan you select.

    At the end of each Billing Cycle, your Subscription will automatically renew under the same terms unless you cancel it or Azebina Show terminates it. You may cancel renewal at any time through your account settings.

    To activate or maintain a Subscription, you must provide a valid payment method (e.g., credit card or PayPal) along with accurate billing information and a valid email address. By submitting payment information, you authorize Azebina Show to charge all applicable Subscription fees to your designated payment method.

    If an automatic payment attempt fails, we will issue an electronic notice requesting updated payment information so your Subscription can be processed for the current Billing Cycle.

    FREE TRIAL

    From time to time, Azebina Show may offer free trial access to certain Subscriptions for a limited duration (“Free Trial”). You may be asked to enter billing information during Free Trial registration.

    If billing information is provided, your payment method will not be charged until the Free Trial period ends. Unless you cancel before the trial expires, regular Subscription fees will automatically apply at the end of the Free Trial.

    We reserve the right to modify or discontinue any Free Trial offer at any time and without prior notice.

    FEE CHANGES

    Azebina Show may modify pricing, including Subscription fees, at its sole discretion. Any changes will take effect at the start of the next Billing Cycle.

    You will receive reasonable advance notice of any upcoming price changes, giving you the opportunity to cancel your Subscription before the new rates become effective. Continued use of the Services after fee changes take effect constitutes your agreement to the updated pricing.

    UNAUTHORIZED USAGE

    The following actions are strictly prohibited, as they are harmful, unethical, or unlawful:

    1. Attempting to obtain services from us without intending to pay.

    2. Using our website or systems to obtain services from other providers without payment.

    3. Accessing, altering, or destroying customer or end-user information by any unauthorized means.

    4. Interfering with the use of our website or systems by other customers or authorized users.

    5. Publishing or transmitting content that promotes violence, depicts violent acts, includes child pornography, or threatens public safety.

    6. Engaging in behavior that violates consumer protection laws.

    7. Violating another person’s privacy rights.

    Our Services are strictly prohibited from being used by individuals or entities connected to illegal gambling, terrorism, drug trafficking, arms trafficking, or the development, distribution, or use of nuclear, chemical, biological, or other weapons of mass destruction. This includes anyone affiliated with groups supporting such activities.

    TERMINATION

    Your free or paid access to our Services remains active until canceled by you or terminated by Azebina Show.

    We may suspend or terminate your account immediately and without prior notice for any reason, including violations of this Agreement. If you fail to comply with any provision of this Agreement, your rights will automatically terminate without notification.

    Upon termination, you must discontinue representing yourself as a Member or Subscriber and must delete or destroy all materials obtained through our Services, including copies.

    Certain sections of this Agreement—such as those involving intellectual property, indemnification, limitations of liability, and warranty disclaimers—will continue to apply even after termination.

    USE OF PAID COURSES, PROGRAMS, AND MATERIALS

    From time to time, the Company may offer courses, coaching programs, digital products, subscriptions, and related materials (collectively, “Courses”). When you purchase or access a Course, Azebina Show grants you a limited, personal, non-exclusive, non-transferable license to use the content solely for your individual personal use.

    Except where otherwise permitted, you agree that you may not:

    • modify, edit, copy, reproduce, distribute, or create derivative works from the Courses;

    • reverse engineer or alter the Courses in any way;

    • sell, share, or redistribute the Courses without written consent;

    • create competing products or services based on the Course content.

    Purchasing or downloading any Course constitutes your agreement to these terms.

    COMMUNICATION SERVICES

    Our Services may include communication features such as forums, chat rooms, community groups, bulletin boards, comment sections, personal pages, blogs, or other interactive tools (“Communication Services”). You agree to use these areas responsibly and only to post material appropriate to the specific communication channel.

    When using Communication Services, you agree not to:

    • harass, threaten, defame, abuse, or violate the rights of others;

    • post content that is unlawful, obscene, offensive, defamatory, or inappropriate;

    • upload materials protected by copyright or intellectual property laws without proper authorization;

    • upload files containing viruses, corrupted data, or harmful software;

    • advertise or promote products, services, or competing offerings unless expressly allowed;

    • conduct surveys, contests, pyramid schemes, or chain letters;

    • download files that you know (or reasonably should know) cannot be legally distributed;

    • falsify author attributions or remove legal notices;

    • restrict or inhibit others from using the Communication Services;

    • collect personal information about others without consent;

    • violate any laws or regulations.

    Azebina Show is not obligated to monitor Communication Services but reserves the right to review, edit, or remove content at its discretion. We may terminate your access to any Communication Service at any time without notice.

    We may disclose information posted in Communication Services when required by law, regulation, legal process, or governmental request.

MEMBER CONDUCT

Our Communication Services may give users the ability to upload, share, store, link, or otherwise publish information, text, images, videos, graphics, or other forms of content (“Submissions”). You are solely responsible for any Submissions you post, including ensuring they are lawful, accurate, and appropriate. By submitting content, you confirm that:
(i) you either own the content or have the legal right to use it and grant us the permissions described in this Agreement; and
(ii) your Submissions do not violate anyone else’s privacy, publicity rights, copyrights, trademarks, contracts, or any other legal rights. We may suspend or terminate any user account that is found to infringe another party’s copyright.

Users acknowledge that while using the Communication Services, they may encounter Submissions that could be offensive, inaccurate, or otherwise objectionable. We do not guarantee the reliability, accuracy, or quality of any Submissions. Although we are not required to actively monitor user content, we reserve the right to review, edit, or remove any material posted on the platform. If content is found to be unlawful, we will provide relevant information to authorities as required.

If any Submission is reported as inappropriate, Azebina Show may request that the user edit or remove the content within 24 hours. If the user does not comply, we may restrict posting privileges or immediately terminate the account. We may remove any Submission at any time, without notice, if it violates this Agreement or is otherwise unsuitable. Users are responsible for following all applicable copyright and trademark laws when posting content.

You also agree not to use the Communication Services to violate the intellectual property rights of others. In accordance with the DMCA and similar laws, we may terminate users who we determine, at our discretion, repeatedly infringe others’ intellectual property rights.

As a user, you agree that you will not post or transmit any Submissions that:

Content Restrictions

  • Violate any federal, state, local, or international law.

  • Infringe upon any patent, trademark, copyright, trade secret, or proprietary rights.

  • Threaten, defame, harass, abuse, incite violence, or otherwise contain obscene, hateful, discriminatory, or unlawful material of any kind, including hate speech or content targeting individuals or groups.

  • Contain links to content you are not authorized to use or share.

  • Reveal private or personal information of others, such as phone numbers, addresses, email addresses, Social Security numbers, or financial data.

  • Contain viruses, malware, or any malicious code intended to disrupt, damage, or compromise systems or data.

  • Include unauthorized advertisements, solicitations, spam, chain letters, pyramid schemes, or any other form of commercial solicitation.

  • In our sole judgment, restrict or interfere with another person’s ability to use the Services or could create potential legal liability for Azebina Show or its users.

Use of Our Content

You agree not to use our Content to:

  • Build a competing website, product, or service.

  • Create derivative works or compilations as defined under U.S. copyright law.

  • Redistribute our Content through sale, rental, licensing, subscription, or any other distribution method.

  • Reverse engineer, disassemble, or otherwise attempt to access any underlying software or technology used in our Services.

  • Use the Services in any way that violates this Agreement or any applicable laws.

UNLAWFUL ACTIVITY

We reserve the right to investigate any complaints or allegations of misconduct and to take any action we believe necessary. This may include reporting suspected illegal activity to law enforcement, regulators, or third parties. We may share information such as your account details, emails, usage data, IP address, posted materials, and other relevant information as permitted by law.

LINKING TO OUR SERVICES

Azebina Show does not review all external websites that link to our Services and is not responsible for any content found on those sites. Links to our website do not imply our endorsement or approval.

You may link to our Services only if:
(a) you do not alter or obscure any part of our website through framing or similar methods;
(b) your website does not contain illegal or pornographic content; and
(c) you agree to remove any links to our Services immediately if requested.

LINKS TO EXTERNAL WEBSITES

Our Services may include links to websites operated by third parties. These links are provided for convenience only and do not constitute an endorsement or guarantee by Azebina Show. We have no control over third-party sites and are not responsible for their content, policies, or practices.

By submitting a Testimonial, you agree that it becomes the exclusive property of Azebina Show. This includes the right to reproduce, edit for length (without altering meaning), publish, and use the Testimonial—along with your name and general location—across our Services and marketing materials.

CONTESTS, SWEEPSTAKES & PROMOTIONS

From time to time, Azebina Show may offer contests, sweepstakes, or other promotional activities (“Promotions”). These may be governed by separate rules that supersede this Agreement where conflicts exist. Participation in any Promotion requires reviewing the applicable Promotion rules and our Privacy Policy.

AFFILIATE DISCLOSURE

You should assume that Azebina Show may maintain affiliate relationships with suppliers referenced on our Services. We may receive compensation for recommending products, linking to vendors, or promoting third-party services.

LIMITATION OF OUR SERVICES

Azebina Show currently provides all Services in English and Amharic only.

JURISDICTION & GOVERNING LAW

This Agreement is governed by the laws of the State of Wisconsin and will be interpreted as though executed within Milwaukee, Wisconsin, without regard to conflict-of-law rules.

If you violate or threaten to violate Azebina Show’s intellectual property rights, we may seek injunctive or other appropriate relief in state or federal courts located in Wisconsin. You agree to exclusive jurisdiction and venue in those courts.

DISPUTE RESOLUTION

Any dispute arising from this Agreement or the Services—excluding actions to protect our intellectual property or enforce website operations—must first be addressed through mediation.

If a dispute occurs, both parties will attempt to resolve it with a mutually selected mediator located in Milwaukee, Wisconsin. Mediation costs (excluding attorney fees) will be shared equally. Before requesting mediation, you must first send us a written explanation of your concern in an attempt to resolve it informally.

By accepting this Agreement, you also agree that any mediation must begin within one (1) year of the date of the event giving rise to the claim. Claims brought after one year are permanently barred.

If mediation does not resolve the matter, the dispute will be submitted to binding arbitration in Milwaukee, Wisconsin, under the commercial rules of the American Arbitration Association. Arbitration will be conducted on an individual basis only. The losing party will be responsible for all arbitration fees. The arbitrator’s decision may be entered as a judgment in any court with appropriate jurisdiction.

SEVERABILITY & SURVIVAL

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force. If any content conflicts with this Agreement, the terms of this Agreement will take precedence. Our decision not to enforce a provision does not waive our right to enforce it later. All rights that logically survive termination will remain in effect.

CHANGES TO THIS AGREEMENT

We may modify or update this Terms of Service Agreement at any time. You should review it periodically. When changes occur, we will notify users via email and/or a prominent notice on our Services before the new terms take effect.

Revisions will become effective five (5) days after being posted. We will update the “Published Date” accordingly. Continued use of the Services after changes become effective signifies your acceptance of the revised terms. If you do not agree with the updated terms, you must discontinue use of the Services.
